Terms and Conditions

Please read these Terms and Conditions ("Terms") carefully before using the Automated3PL website, client portal, or any services provided by AutomatedFBA LLC d/b/a Automated3PL ("Automated3PL," "we," "our," or "us").
By accessing our website, creating an account, or using our services, you agree to be bound by these Terms.
Services
Automated3PL provides third-party logistics (3PL), Amazon FBA preparation, warehousing, storage, labeling, bundling, palletizing, forwarding, and related logistics services.
We reserve the right to refuse service to any customer or shipment at our sole discretion.
Client Responsibilities
The client agrees to:
• Provide accurate shipment and product information.
• Ensure all products comply with applicable federal, state, local, and Amazon requirements.
• Maintain ownership of all inventory shipped to Automated3PL.
• Pay all invoices according to the agreed payment terms.
• Promptly respond to requests regarding inventory, storage, or shipment issues.
Clients are solely responsible for the legality, authenticity, and saleability of their products.
ScanPower BoxT
Automated3PL utilizes ScanPower BoxT as an essential part of our outbound fulfillment workflow.
Use of ScanPower BoxT is required for clients utilizing our Amazon FBA preparation services and is included at no additional charge.
Pricing and Payment
All services are billed according to our published pricing schedule or individually negotiated pricing.
Invoices are due according to the payment terms stated on the invoice.
Automated3PL reserves the right to:
• suspend services;
• delay outbound shipments;
• refuse additional inbound deliveries;
• retain inventory until outstanding balances have been paid.
Late payments may be subject to applicable late fees and collection costs, including reasonable attorney's fees where permitted by law.
Receiving Inventory
Upon receipt, our team inspects incoming shipments for visible damage.
If shipping damage is discovered upon delivery or during receiving (generally within 24 hours), we will document the damage and notify the carrier when appropriate.
Inventory counts are based solely on quantities physically received.
Automated3PL is not responsible for shortages resulting from supplier packing errors, concealed shortages, manufacturer errors, or carrier loss occurring before inventory reaches our facility.
Inventory Handling and Liability
Automated3PL exercises reasonable care in handling all client inventory.
We will reimburse clients for inventory that is lost or physically damaged solely due to the negligence or actions of Automated3PL employees while the inventory is in our possession.
This reimbursement is provided as a customer service commitment and is not backed by an insurance policy covering client-owned inventory.
Automated3PL is not responsible for inventory loss or damage resulting from:
• carrier transportation to our facility;
• carrier transportation after inventory leaves our facility;
• manufacturer defects;
• supplier shortages;
• concealed damage;
• Amazon receiving discrepancies;
• Amazon reimbursement decisions;
• inventory adjustments made by Amazon;
• acts of God, natural disasters, theft outside our reasonable control, governmental actions, labor disputes, or other events beyond our reasonable control.
Our total liability shall never exceed the documented replacement cost of the affected inventory.
Automated3PL shall not be liable for lost profits, loss of business, loss of future sales, or any consequential, incidental, indirect, special, or punitive damages.
Storage
Storage charges begin according to our published pricing schedule.
Clients are responsible for paying all applicable storage fees.
Inventory remaining at our facility for more than ninety (90) consecutive days without payment or communication may be deemed abandoned.
Automated3PL may dispose of, donate, recycle, liquidate, or otherwise remove abandoned inventory without further notice or liability.
Amazon Shipments
Once inventory has been transferred to a carrier or accepted by Amazon, responsibility for the shipment transfers accordingly.
Automated3PL is not responsible for:
• Amazon receiving delays;
• Amazon inventory discrepancies;
• Amazon reimbursement decisions;
• inventory lost after carrier acceptance;
• shipment delays caused by Amazon or the carrier.
Website and Client Portal
Clients are responsible for maintaining the confidentiality of their login credentials.
Unauthorized access to another user's account is strictly prohibited.
Intellectual Property
All content, trademarks, software, branding, graphics, and materials on this website remain the exclusive property of Automated3PL unless otherwise stated.
Third-Party Services
Our website and services may integrate with third-party providers, including Amazon, Stripe, shipping carriers, and software providers.
Automated3PL is not responsible for interruptions, errors, outages, or policies of third-party services.
Indemnification
The client agrees to defend, indemnify, and hold harmless Automated3PL, its owners, employees, contractors, affiliates, and agents from any claims, liabilities, damages, expenses, or legal costs arising from:
• the client's inventory;
• violations of law;
• violations of Amazon policies;
• misuse of our services;
• breach of these Terms.
Disclaimer
Services are provided "AS IS" and "AS AVAILABLE."
Except as expressly stated in these Terms, Automated3PL makes no warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
Limitation of Liability
To the fullest extent permitted by law, Automated3PL shall not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages.
In no event shall Automated3PL's total liability exceed the documented replacement cost of the affected inventory.
Force Majeure
Automated3PL shall not be liable for delays or failures caused by circumstances beyond our reasonable control, including but not limited to natural disasters, hurricanes, floods, fires, power outages, pandemics, labor disputes, government actions, carrier disruptions, or other force majeure events.
Governing Law
These Terms shall be governed by the laws of the State of Connecticut, without regard to its conflict of law principles.
Any legal action arising under these Terms shall be brought exclusively in the state or federal courts located within Connecticut.
Changes to These Terms
We reserve the right to modify these Terms at any time.
Updated versions will become effective upon posting to our website unless otherwise stated.
Continued use of our services constitutes acceptance of the revised Terms.
